Coravin Club Loyalty Membership and Rewards Program — Terms and Conditions

The Coravin Club Rewards Program ("Program") is a free rewards program offered by Coravin, Inc. ("Coravin") to its customers. Certain aspects of this Program are administered on behalf of Coravin by a service provider, Prairie Group Inc., d/b/a Bubblehouse ("PGI"). As used in these Terms, the terms "we," "us," and "our" shall be deemed to collectively refer to both Coravin and PGI. Membership in the Program ("Membership") is limited to individuals only and limited to one account per individual. Membership is limited to individuals age 21 or older. By applying for Membership, you represent and warrant that you meet this requirement.

BY APPLYING FOR MEMBERSHIP IN THE PROGRAM, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS ("TERMS"). NO PURCHASE IS NECESSARY TO BECOME A CORAVIN CLUB MEMBER.

There are two tiers of Membership: The Coravin Club and The Coravin Club Premium. Membership in The Coravin Club is free and automatic upon enrollment. The Coravin Club Premium requires payment of an annual subscription fee, as described below.

All tiers include Benefits made available by Coravin in its sole discretion from time to time ("Benefits"), which may include Rewards, special offers, exclusive events, and early access to products. Benefits may vary by tier, and Coravin determines the type, timing, and availability of all Benefits in its sole discretion. Coravin may alter, limit, or modify any tier's rules, Benefits, or eligibility criteria, or discontinue a particular tier, at any time as described in Section 5.

The Coravin Club

All Members automatically become Coravin Club Members upon enrollment. A Coravin Club Member remains a Member indefinitely, subject to removal from the Program as described in Section 5, unless the Member opts out or deletes their account.

The Coravin Club Premium

The Coravin Club Premium Membership is available to Members who pay the applicable annual subscription fee, as displayed at checkout. Premium Membership begins on the date of payment and remains active for 12 months. Unless cancelled before the renewal date, Premium Membership will automatically renew for a further 12-month period at the annual subscription fee then in effect. The renewal fee will be charged to the payment method associated with the Member's account.

Coravin may change the annual subscription fee or offer promotional or discounted pricing from time to time. Any change to the subscription fee will apply from the Member's next renewal date and will not affect a Membership period that has already been paid for.

Members may cancel their Premium Membership at any time through their account settings on the Coravin website or by contacting Customer Service. Cancellation will take effect at the end of the current paid Membership period. If a member cancels or does not renew their Premium Membership, they will revert to Coravin Club Membership.

Earning Points

Coravin Club Members earn 1 Reward Point for every $1 spent on the Coravin website. Coravin Club Premium Members earn 2 Reward Points for every $1 spent. Points are earned on the purchase price of Coravin products only - not on taxes or shipping - and exclusions may apply to certain products. Reward Points are not earned on any portion of an order paid for with Reward Points.

If you believe Reward Points from a qualifying purchase were not properly credited to your account, contact Customer Service at csr@coravin.com within 30 days of the purchase. Coravin is not obligated to investigate a claim made after that period.

Redeeming Points for a Discount

Each Reward Point is worth 5¢ toward a future purchase of Coravin products on the Coravin website. Points may be redeemed toward any order in any amount, once you have a minimum of 20 points, subject to a $30 minimum order. Discount redemptions are limited to one per order and cannot be combined with other coupons or promotions. Reward Points may only be applied toward purchases of Coravin products and cannot be applied toward third-party or partner offers, including any partner offers available to Coravin Club Premium Members.

Redeeming Points for Rewards

Coravin may also make other rewards available for point redemption from time to time - such as merchandise, experiences, or other benefits - at its sole discretion ("Rewards"). Rewards can only be redeemed online, and the retail value of a Reward does not count toward Coravin's free shipping thresholds.

Points Have No Cash Value

Reward Points have no cash value, are not the property of any Member, and may not be sold, transferred, or redeemed for cash. Points are forfeited if a Membership is revoked or cancelled.

Expiration

Reward Points expire after 12 consecutive months with no earning or redemption activity on the account. Your account page shows your most recent activity date. If you believe your points expired in error, contact Customer Service at csr@coravin.com. Points also expire immediately if a Membership is revoked or cancelled, as described in Section 5.

Eligibility

The Referral Program is limited to individuals and may not be used by businesses for affiliate lead generation. The Referrer and Referred Customer must be different people.

How It Works

A Referred Customer is a new customer who arrives at the Coravin website through your referral link and completes a qualifying purchase of $199 or more (based on product price, excluding taxes and shipping). Referred Customers receive a 20% discount code for that purchase, limited to one code per order.

Once a Referred Customer completes a qualifying purchase, you (the Referrer) will receive a $50 discount code, limited to one Qualified Referral per Referred Customer - repeat purchases by the same person do not earn additional rewards. Referrers may earn rewards for up to 5 Qualified Referrals in any rolling 12-month period. This limit applies only to the Referrer's $50 rewards; there is no limit to the number of Referred Customers who may use your referral link to receive their own 20% discount. Referral rewards will be voided if the qualifying order is later returned, charged back, or found to be fraudulent. Referral rewards cannot be combined with other promotional codes, loyalty points, or special sales.

Responsible Sharing

Referral links must be shared personally and directly with people you know - not through bulk or unsolicited email, mass messaging, or paid advertising - in compliance with the CAN-SPAM Act and other applicable laws. If you share your referral link publicly (for example, on social media), you must clearly disclose that you will receive a reward for referrals. Violating this section is grounds for immediate account termination and removal from the Referral Program.

Program Changes

Coravin may change the referral discount amounts, the qualifying purchase threshold, or the annual referral limit at any time; any change will apply only to referrals initiated after the change takes effect. Coravin may close the account of any Referrer or Referred Customer for fraud, abuse, or violation of these Terms. Coravin's general right to modify, suspend, or end the Program (Section 5) applies here as well; any unclaimed referral rewards will be forfeited if the Program is cancelled.

Changes to the Program

Coravin may modify, limit, or terminate the Program - including any Benefit, Reward, or Membership eligibility rule - at any time in its sole discretion, by posting the change on the Coravin website. Coravin may also transfer or assign its obligations under the Program to another person or entity without recourse to Members. Your continued participation after a change is posted constitutes your acceptance of the new Terms.

If Coravin terminates the Program in its entirety, Coravin will post a Program End Date on the Coravin website or otherwise notify Members. Members will have 30 days after the Program End Date to redeem any remaining Reward Points. Any Reward Points remaining in a Member's account after that 30-day period will be forfeited without compensation.

Removal from the Program

Coravin may exclude a Member from the Program or remove Reward Points from a Member's account in its sole discretion, including for gaming or manipulating the Program, violating these Terms, inactivity for more than 12 months, or conduct detrimental to Coravin's interests - excluding conduct protected by applicable law. Reward Points are forfeited if a Membership is revoked or cancelled. If you believe an action was taken in error, contact Customer Service at csr@coravin.com.

Membership Terms

Membership is personal to each Member and is non-transferable, except as Coravin may otherwise permit in its sole discretion.

Updates to These Terms

Coravin may update these Terms at any time; the current version will always be posted on the Coravin website. These Program Terms should be read together with Coravin's general Terms of Use and Privacy Policy, which also apply to your Membership. It's your responsibility to review these Terms periodically - continued participation constitutes acceptance of any changes.

The Program is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Coravin disclaims all warranties of any kind, express or implied, relating to the Program, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Coravin does not warrant that the Program or the Coravin website will be uninterrupted, secure, or error-free.

To the fullest extent permitted by applicable law, Coravin's total liability to a Member arising out of or relating to the Program, however the claim arises, will not exceed the value of any Reward Points, Benefits, or Rewards the Member has earned under the Program. Some jurisdictions do not allow the limitation of certain warranties or damages, so some of the limitations in this Section 6 may not apply to you.

If there is a dispute between participants on this site, or between users and any third party, you agree that Coravin is under no obligation to become involved. In the event that you have a dispute with one or more other users, you release Coravin, its officers, employees, agents, and successors from claims, demands, and damages of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and/or our Services. If you are a California resident, you shall and hereby do waive California Civil Code Section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
